1. General Conditions

1.1 If you choose to use the FDI.net service (the "Service"), you agree to abide by all of the terms and conditions of this User Agreement (the "Agreement") between you and the Multilateral Investment Guarantee Agency ("MIGA"), a multilateral development agency and member of the World Bank Group. All material on this Service derived from the various members of the World Bank Group may be subject to additional terms and conditions governing its use. All rights not expressly granted herein are reserved.

1.2 MIGA may amend portions of this Agreement at any time. Any amendments to the Agreement will be posted on the Service.

1.3 Your continued use of the Service now, or following the posting of amendments to these terms and conditions shall indicate acceptance by you of the same. If you are a registered user and any of these terms and conditions, or any future amendments thereto, are unacceptable to you, you may cancel your registration by sending an electronic mail to: FDInet@worldbank.org.

1.4 MIGA may change, suspend or discontinue any aspect of the Service at any time, including the availability of any Service feature, database, or content. MIGA may also impose limits on certain features and services or restrict your access to parts or all of the Service without prior notice or liability; provided, however, MIGA shall not impose any limits or restrictions that would prevent you from being able to access any personally identifiable information about you, if any, that you have provided directly to MIGA at our request, to the extent that your continued access to such information is required by applicable law

2. FDI.net Content

2.1 The content of the Service are intended for your personal use and not for commercial use by you or others. All materials published on FDI.net (including, but not limited to, any materials, documents, graphics, logos, design, news articles, photographs, images, illustrations, audio clips and video clips, and other information, all of which may be sometimes referred to hereafter as "Content") are protected by copyright, and owned or controlled by MIGA or the party credited as the provider of the Content. You shall abide by all copyright notices, information, or restrictions contained in any Content accessed through the Service. You may not use any robot, spider, or other automated device to access or use the site in any way.

2.2 The Content of the Service is for your information only. Use of this Web site is at your own risk. MIGA specifically does not make any warranties or representations as to the accuracy or completeness of any Content. MIGA periodically adds, changes, improves or updates the Content on the Web site without notice. Under no circumstances including but not limited to, negligence, shall MIGA be liable for any direct or indirect, special, incidental or consequential damages that may arise from your use of this web site. This includes loss of data, opportunities, or profit arising from the use or the inability to use the content of this web site, even if one of MIGA's representatives has been advised of the possibility of your damages. If your use of this Web site results in your need to service, repair or correct equipment or data, you should assume the costs. Some jurisdictions do not allow the exclusion or limitation or liability for consequential or incidental damages. In such jurisdictions, MIGA's liability is limited to the extent permitted by law.

2.3 The Service and its Content are protected by copyright pursuant to U.S. and international copyright laws. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display, or in any way exploit, any of the Content or the Service in whole or in part, unless permitted by MIGA.

2.4 You may download or copy the Content and other downloadable items displayed on the Service for personal use only, provided that you maintain all copyright and other notices contained therein. Copying or storing of any Content for other than personal use is expressly prohibited without prior written consent from MIGA or the copyright holder identified in the copyright notice contained in the Content.

2.5 Unless expressly stated otherwise, the findings, interpretations and conclusions contained in the Content are those of the various authors of the works in question and are not necessarily those of the World Bank Group's Boards of Executive Directors or of the countries they represent.

2.6 Content on this site is provided for informational purposes only and shall not be construed, implicitly or explicitly, to constitute any investment recommendation. MIGA is not registered under the United States Investment Advisors Act of 1940 or any similar legislation in any other country and no content on this site shall be construed, implicitly or explicitly, to constitute an offer to purchase or sell any securities, nor shall it be considered as investment advice.

3. Access and Availability of Service and Links to third-party web sites

3.1 The Service contains links to other related World Wide Web Internet sites, resources, and sponsors of the Service. Since MIGA is not responsible for the availability of these outside resources, or their contents, you should direct any concerns regarding any external link to the site administrator or Webmaster of such site.

3.2 The links to third party web sites are provided for your information only. The content in any linked Web site is not under MIGA's control, and MIGA is not responsible for the content of the linked web sites, including any further links contained in a third party web site. If you decide to access any of the third party web sites linked to this Web site, you do this entirely at your own risk.

3.3 MIGA reserves the right to terminate a link to a third party Web site at any time. The fact that MIGA provides a link to a third party Web site does not mean that MIGA endorses, authorizes or sponsors that Web site. It also does not mean that MIGA is affiliated with the third party Web site's owners or sponsors.

3.4 If a third party links to this Web site, it is not necessarily an indication of an endorsement, authorization, sponsorship, affiliation, joint venture or partnership by MIGA or with MIGA

3.5 If and when this Site contains bulletin boards, chat rooms, access to mailing lists or other message or communication facilities (collectively, "Forums"), User agrees to use the Forums only to send and receive messages and material that are related to the particular Forum. By way of example, and not as a limitation, User agrees that when using a Forum, User shall not do any of the following:

Advertise or offer to sell any goods or services, or conduct or forward surveys, contests, or chain letters. Download any file posted by another user of a Forum that you know, or reasonably should know, cannot be legally distributed in such manner

3.6 User acknowledges that all Forums or Discussion Groups are public and not private communications. Further, User acknowledges that chats, postings, conferences, e-mails and other communications by other users are not endorsed by MIGA and such communications shall not be considered reviewed, screened, or approved by MIGA. MIGA reserves the right for any reason to remove without notice any contents of the Forums received from Users, including without limitation e-mail and bulletin board postings.

4. Representations, Warranties, and Covenants

4.1 You agree that (a) no materials of any kind submitted through your account will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or otherwise unlawful material; and, (b) that you are at least eighteen years old.

4.2 You hereby agree to indemnify, defend and hold harmless MIGA and all of its officers, directors, agents, information providers (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of your account of this Agreement or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defense of any claims brought against MIGA. MIGA reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

4.3 Neither MIGA nor the Service represents or endorses the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Service or via electronic mail by any user, information provider or any other person or entity; thereby agreeing to the content of Sections 2.4 through 2.7 of this document.

4.4 You agree that your correspondence or business dealings with, or participation in the promotions of, advertisers found on or through the Service, including but not limited to payment and delivery of related goods or services, are solely between you and such advertiser. You agree that MIGA shall not be responsible or liable for the accuracy, usefulness or availability of information from advertisers.

5. Registration and Security

5.1 If you chose to be a registered User, you shall select a password and a user name. You shall also provide us with certain registration information, all of which must be accurate and complete. You may not (i) select or use a user name of another person with the intent to impersonate that person; (ii) use a user name in which another person has rights without such person's authorization; or (iii) use a user name that MIGA, in its sole discretion, deems offensive. Failure to comply with the foregoing shall constitute a breach of this Agreement, which may result in immediate termination of your account. You shall be responsible for maintaining the confidentiality of your password.

5.2 You shall notify MIGA promptly of any known or suspected unauthorized use of your account or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password.

5.3 You are responsible for all usage or activity on your FDI.net account, including use of the account by any third party authorized by you to use your user name and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at MIGA's sole discretion, and MIGA may refer you to appropriate law enforcement agencies.

6. Fees and Payments

The Service is currently free of charge to all users. However, MIGA reserves the right at any time to charge fees for access to portions of the Service or the Service as a whole. In no event will you be charged for access to the Service unless we obtain your prior agreement to pay such charges. Thus, if at any time MIGA requires a fee for portions of the Service that are now free, MIGA will give you advance notice of such fees and the opportunity to decline access to the Service before such charges are imposed. All new fees, if any, will be posted in appropriate locations on the Service or sent to you via electronic mail. All fees and charges shall be billed to and paid for by you. You shall pay all applicable taxes relating to use of the Service through your account.

7. Communications Between MIGA and Subscribers

7.1 MIGA reserves the right to send electronic mail to you for the purpose of informing you of changes or additions to the Service.

7.2 MIGA reserves the right to disclose aggregated information about the demographics and usage patterns of Service users, provided that such disclosure does not reveal your personal identity, or the personal identity of other users of the Service.

8. Termination

8.1 You may terminate your account at any time by sending an electronic mail to: FDInet@worldbank.org. Upon termination, your access will be suspended within 72 hours. You are responsible for all charges incurred, if any, up to the time the account is terminated.

8.2 If and when an optional registration process is in effect, MIGA may, in its sole discretion, terminate or suspend your access to all or part of the Service for any reason, including, without limitation, breach of this Agreement.

9. Dispute Resolution and Governing Law

9.1 This Agreement will be interpreted in accordance with the laws of the District of Columbia.

9.2 The parties hereto shall strive to resolve promptly and amicably questions of interpretation and application of this Agreement. Disputes not settled shall be disposed of, at the initiative of either party, by arbitration in accordance with the then prevailing arbitration rules of the United Nations Commission on International Trade Law (the UNCITRAL Arbitration Rules). The arbitral proceedings shall be held in Washington, D.C. The arbitral proceedings shall be final and binding upon the parties and enforceable in any court of competent jurisdiction. The parties shall carry out the award promptly.

10. Preservation of Immunities

Nothing herein shall constitute or be considered to be a limitation upon or a waiver of the privileges and immunities of MIGA under its Convention, all of which are specifically reserved.

11. Severability

If any provision of this Agreement is invalid or illegal under any applicable statute or rule of law, it is to that extent deemed to be omitted. The remainder of the agreement shall be valid to the maximum extent possible
